Welcome to Yayday (“Yayday,” “we,” “our,” or “us”). Yayday is a platform that helps users document, track, and share personal achievements and goals, offering a unique way to showcase professional capabilities and progress. These Terms of Use govern your access to and use of Yayday, including any content, functionality, and services offered on or through yayday.io (the “Site” or “Service”).

1. Acceptance of Terms

You are solely responsible for maintaining the confidentiality of your login credentials and for restricting access to your computer or device. If you suspect any unauthorized use of your account, you must notify us immediately.

3.1 Ownership
You retain full ownership of any text, images, links, or other materials (“User Content”) that you post, upload, or otherwise make available through the Service. By providing User Content, you grant Yayday a non-exclusive, worldwide, royalty-free license to use, reproduce, modify, adapt, publish, translate, distribute, and display such User Content for the purpose of operating, improving, and promoting the Service.

You are solely responsible for your User Content and any consequences of sharing it. You represent that you have all necessary rights to post or otherwise make available your User Content on the Service.
3.3 Prohibited Content

Except as otherwise provided in these Terms, you may not copy, distribute, modify, create derivative works of, publicly display, publicly perform, republish, download, store, or transmit any part of our Service without our prior written permission.

6. Third-Party Links and Services
The Service may contain links to third-party websites or services that are not owned or controlled by Yayday. We have no control over and assume no responsibility for the content, privacy policies, or practices of any third-party websites or services. You acknowledge and agree that Yayday shall not be responsible or liable, directly or indirectly, for any damage or loss caused by your use of any such third-party content.

7. Disclaimer of Warranties
YOUR USE OF THE SERVICE IS AT YOUR SOLE RISK. THE SERVICE IS PROVIDED ON AN “AS IS” AND “AS AVAILABLE” BASIS. YAYDAY AND ITS AFFILIATES, LICENSORS, AND SERVICE PROVIDERS DISCLAIM ALL WARRANTIES OF ANY KIND, WHETHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO THE IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.
We do not warrant the accuracy, completeness, or usefulness of any information on the Service. We do not warrant that the Service will be uninterrupted, error-free, or secure. No advice or information obtained by you from Yayday or through the Service will create any warranty not expressly stated herein.

8. Limitation of Liability
TO THE FULLEST EXTENT PERMITTED BY LAW, YAYDAY AND ITS AFFILIATES, LICENSORS, AND SERVICE PROVIDERS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING WITHOUT LIMITATION, LOSS OF PROFITS, DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES ARISING OUT OF OR RELATED TO YOUR USE OF THE SERVICE OR INABILITY TO USE THE SERVICE.
IN NO EVENT SHALL THE TOTAL LIABILITY OF YAYDAY FOR ALL CLAIMS RELATING TO THE SERVICE EXCEED THE GREATER OF THE AMOUNT PAID BY YOU TO YAYDAY FOR THE SERVICE DURING THE TWELVE (12) MONTHS PRECEDING THE CLAIM OR ONE HUNDRED U.S. DOLLARS (USD $100).

9. Indemnification
You agree to defend, indemnify, and hold harmless Yayday, its affiliates, licensors, and service providers, and their respective officers, directors, employees, contractors, agents, licensors, and suppliers from and against any claims, liabilities, damages, judgments, awards, losses, costs, expenses, or fees (including reasonable attorneys’ fees) arising out of or relating to your violation of these Terms or your use of the Service.

10. Termination
We may suspend or terminate your account or cease providing you with all or part of the Service at any time for any reason, including if we believe you have violated these Terms. Upon termination, all rights and licenses granted to you in these Terms will immediately cease.

11. Governing Law and Dispute Resolution
These Terms and any disputes related to them will be governed by and construed in accordance with the laws of the State of New York, without regard to its conflict of law provisions. Any dispute, claim, or controversy arising out of or relating to these Terms that cannot be resolved informally shall be settled by binding arbitration administered by [Arbitration Body] in accordance with its Commercial Arbitration Rules. 12. General Provisions

No waiver by Yayday of any term or condition set forth in these Terms shall be deemed a further or continuing waiver of such term or condition or a waiver of any other term or condition.
12.4 Assignment
You may not assign or transfer these Terms or any of your rights or obligations hereunder without our prior written consent. We may freely assign or transfer these Terms without restriction.
